Welcome to Registerly, a point-of-sale and invoicing application operated by App With Flow (Florent Pottevin)(“we”, “our”, “us”). These Terms govern your access to and use of the Registerly mobile application, website, and related services (collectively, the “Service”).
By creating an account, accessing, or using the Service, you agree to be legally bound by these Terms. If you do not agree, you may not use Registerly.
1. Who We Are
The Service is provided by:

2. Eligibility
You must:

Be at least 18 years old, and

Have the authority to operate a business or act on behalf of one.
By using the Service, you confirm these requirements.
3. Your Account
To access Registerly, you must receive an invite-based authentication token issued by a business owner or the developer.
You agree to:

Provide accurate information,

Keep your device secure,
-
Not share login tokens with third parties.
We may suspend access if we detect misuse, device fraud, or breach of these Terms.
4. Subscriptions & Paid Features
Registerly operates on a subscription model managed by RevenueCat and billed through the Apple App Store or Google Play Store.
Plans may include:

Primary subscription (1 device)

Extra device add-ons
-
Loyalty add-ons
-
Quote feature add-ons
-
Other optional features
Subscriptions renew automatically unless you cancel through your respective app marketplace.
Prices and features may change with notice.

5. Permitted Use
You may use the Service to operate your business within applicable laws.
You agree not to:

Misuse or attempt to bypass subscription restrictions,

Interfere with systems, reverse-engineer, or scrape data,

Use Registerly for illegal activities (e.g., fraudulent invoicing, tax evasion),

Violate AEAT/Veri*Factu compliance when applicable.
6. Business Data & Invoicing
Registerly allows you to:

Create invoices and quotes
-
Manage clients, products, stock
-
Create loyalty programs
-
Generate analytics
-
Export or delete account data
You remain solely responsible for:

The accuracy of any invoice, tax data, or business info
-
Compliance with Spanish AEAT, Veri*Factu, and other fiscal regulations

Reporting obligations in your jurisdiction
We do not provide tax, legal, or accounting advice.
7. AEAT / Veri*Factu
Registerly includes partial integration support for AEAT Veri*Factu.
When enabled:

The Service may transmit invoice records to AEAT
-
Your invoice chain includes hash linking for immutability
-
AEAT submissions include identifiable fiscal data
You agree that enabling this feature constitutes authorization for such transmissions.
8. Email Sending
Registerly uses Firebase Cloud Functions to send:

Invoice PDFs,
-
Analytics exports,
-
Staff invite emails.
You must ensure you have the right to contact your clients.
9. Data Protection & Privacy
We process personal data according to our Privacy Policy and Data Processing Agreement, compliant with:

GDPR (EU Regulation 2016/679)

Spanish LOPDGDD
By using the Service, you agree to these policies.
10. Intellectual Property
All software, brand assets, and content remain property of App With Flow (Florent Pottevin).
You may not copy, distribute, modify, or resell the Service.
Invoices, client lists, and business data that you enter remain yours.
11. Availability & Updates
We aim to provide stable services but do not guarantee:

Continuous availability

Error-free functionality

That data will never be lost
We may update or remove features at any time.
12. Limitation of Liability
To the maximum extent allowed by law:

We are not liable for business losses, loss of profits, data loss, or compliance failures.

Our maximum liability is limited to the amount paid by you in the past 12 months.
Nothing limits liability for fraud or willful misconduct.
13. Termination
You may stop using Registerly at any time.
We may suspend or terminate accounts for:

Legal reasons

Non-payment
-
Misuse or breach of Terms
-
Security concerns
Upon termination, data may be deleted or anonymized.
14. Governing Law
These Terms are governed by Spanish law.
Disputes shall be resolved by the courts of Barcelona, Spain, unless mandatory local law applies.
15. Changes to These Terms
We may update these Terms periodically.
If changes are material, we will provide notice within the app or by email.
